Ambassador Program Terms and Conditions
Introduction
Welcome to the Sentrya Ambassador Program ("Program"). By signing up as an affiliate ("Affiliate"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms are a legal agreement between you (the "Affiliate") and Sentrya ("Sole trader," "we," or "us") and govern your participation in the Program.
Please read these Terms carefully before participating. If you do not agree to these Terms, you must not participate in the Program.
Enrollment in the Program
To enroll in the Program, you must submit a complete and accurate application via our website. We reserve the right to approve or reject any application at our sole discretion for any reason or no reason at all.
Ambassador Responsibilities
Compliance with Laws and Policies: Ambassadors must comply with all applicable laws, regulations, and our guidelines, including but not limited to advertising, privacy, and intellectual property laws.
Prohibited Activities: Ambassadors must not engage in fraudulent activities, spam, misleading advertising, or any activity that may harm our reputation or violate any applicable laws.
Sales Targets: Affiliates are required to meet specific sales targets on a monthly basis, with each calendar month starting on the 1st and ending on the last day of the month. Sales targets will be communicated in writing and may vary by tier or promotional period.
Rewards and Payments
Reward Tiers: The Program includes multiple reward tiers based on sales performance. The details of each tier, including the sales thresholds and corresponding rewards, will be provided to Ambassadors upon acceptance into the Program.
Payment Timeline: Rewards earned for achieving sales targets will be calculated and processed within 60 days from the day the target was achieved.
Payment Method: Payments will be made via the payment method specified in your Ambassador account. It is your responsibility to provide accurate and up-to-date payment details.
Tax Obligations: Affiliates are responsible for any tax obligations associated with their rewards. Sentrya may withhold taxes as required by applicable laws.
Adjustments: We reserve the right to adjust payments for errors, fraudulent sales, or returns/refunds of products or services.
Program Restrictions
Non-Exclusivity: Participation in the Program does not create an exclusive relationship between Sentrya and the Ambassador .
No Misrepresentation: Ambassadors must not represent themselves as employees, agents, or representatives of Sentrya. Ambassadors may only promote products or services as authorised under these Terms.
Intellectual Property: Ambassadors are granted a non-exclusive, revocable license to use our trademarks, logos, and promotional materials solely for the purpose of promoting our products or services. Ambassadors must not modify these materials without prior written consent.
Termination
Termination by the Ambassador : You may terminate your participation in the Program at any time by providing written notice to Sentrya.
Termination by Sentrya: We may terminate your participation at any time, with or without cause, by providing written notice. Reasons for termination may include, but are not limited to:
Failure to meet sales targets over a specified period.
Engagement in prohibited activities or violation of these Terms.
Effect of Termination: Upon termination, you must immediately cease using our intellectual property and promotional materials. Any unpaid rewards will be forfeited if termination was due to breach of these Terms.
Indemnification
Ambassadors agree to indemnify and hold harmless to Sentrya, its directors, officers, employees, and agents from any claims, damages, or liabilities arising from their participation in the Program, including but not limited to violations of laws or these Terms.
Limitation of Liability
To the maximum extent permitted by law, Sentrya shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program, including but not limited to loss of revenue, profits, or data.
Modifications to the Terms
Sentrya reserves the right to modify these Terms at any time. Ambassadors will be notified of any material changes via email or through the Program portal. Continued participation in the Program after such modifications constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England, United Kingdom, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the courts of England, United Kingdom.
Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and Sentrya regarding the Program and supersede all prior agreements.
Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
